1. Agreement to Terms

1.1 Binding Agreement

These Terms of Service and Liability Waiver ("Terms") are a legally binding agreement between you ("User," "you," or "your") and Top Tier ID, LLC ("Top Tier ID," "we," "us," or "our"), governing your access to and use of the Top Tier ID Roster platform available at toptieridroster.com and all related services, features, content, and applications (collectively, the "Platform"). By accessing or using the Platform in any manner, you are entering into a contract with Top Tier ID and acknowledging that you have the legal authority to do so.

1.2 Acknowledgment and Acceptance

By clicking "I Agree," checking an acceptance box, creating an account, submitting information, or otherwise using the Platform in any capacity, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety, including without limitation the limitation of liability provisions in Section 11, the indemnification provisions in Section 12, and the binding arbitration and class action waiver provisions in Section 13. If you are accepting these Terms on behalf of an organization or entity, you represent and warrant that you have the authority to bind that organization to these Terms.

1.3 Universal Application

These Terms apply universally to all user types accessing the Platform in any capacity, including: (a) team coaches and their authorized designees who create and manage team rosters ("Coaches"); (b) club directors and administrators who oversee multiple teams within a club organization ("Club Directors"); (c) parents and legal guardians of minor athletes who submit and manage their child's player profile ("Parents"); and (d) college coaches, athletic staff, scouts, talent evaluators, and recruiters who access roster pages to evaluate prospective student-athletes ("Recruiting Users"). Top Tier ID may, at its sole discretion, apply additional terms, policies, or guidelines to specific user categories, which will supplement and not replace these Terms. In the event of a conflict between these Terms and any supplemental terms, the supplemental terms shall control with respect to the subject matter thereof.

2. Description of the Platform

2.1 Nature of Services

Top Tier ID Roster is an online recruiting showcase platform that enables youth soccer clubs and teams to create digital recruiting rosters and makes those rosters accessible to college coaches and recruiters at tournaments, events, and through shareable links and QR codes. The Platform allows Coaches to input player data, allows Parents to consent to and submit their child's profile information, and provides Recruiting Users with a centralized, organized view of player information for evaluation purposes.

2.2 Technology Intermediary Only

The Platform is a technology intermediary only. Top Tier ID is not a recruiting agency, talent agency, placement service, sports agent, athletic advisor, or athletic program. Top Tier ID does not represent any athlete, parent, coach, club, or recruiting institution in any capacity. Top Tier ID makes no representation, warranty, promise, or guarantee, express or implied, that any athlete will be recruited, offered a scholarship, offered a preferred walk-on opportunity, admitted to any educational institution, considered by any college athletic program, or achieve any particular recruiting outcome as a result of using the Platform or having a profile displayed thereon.

2.3 Intended Use

The Platform is designed solely for use in connection with organized youth soccer programs operated through legitimate, recognized club organizations. Use of the Platform for any other purpose — including for sports other than soccer, for recreational or non-club programs, or for any commercial recruiting or placement purpose — is not authorized and constitutes a material breach of these Terms.

2.4 Right to Modify

Top Tier ID reserves the right, in its sole discretion, to modify, update, suspend, discontinue, or permanently terminate the Platform or any feature, function, or service thereof at any time, with or without notice to users. Top Tier ID shall have no liability to any user or third party for any such modification, suspension, or discontinuation. Your continued use of the Platform following any modification constitutes acceptance of the modified Platform.

3. Minimum Age Requirements and COPPA Compliance

3.1 No Users Under 13

The Platform is not directed to, intended for, or designed for children under the age of 13. We do not knowingly collect, solicit, or retain personal information from children under the age of 13. No one under 13 may use the Platform or be listed on it. If we discover that we have inadvertently collected personal information from a child under 13, we will promptly delete such information from our records.

3.2 COPPA Compliance

Top Tier ID operates in full compliance with the Children's Online Privacy Protection Act of 1998, as amended ("COPPA"), 15 U.S.C. §§ 6501–6506, and the Federal Trade Commission's implementing regulations. Coaches and Club Directors who use the Platform represent and warrant, as a condition of access, that they will not submit, upload, input, or otherwise cause the collection of personal information for any player who is under the age of 13. Any violation of this representation is a material breach of these Terms and may subject the violating user to legal liability.

3.3 Athletes Ages 13–17

Athletes between the ages of 13 and 17 (inclusive) are minors in most or all jurisdictions. The personal information of such athletes may only be submitted to the Platform by a parent or legal guardian through the Platform's established parent consent process. A Coach's acceptance of these Terms or use of the Platform does not constitute, and shall not be deemed to substitute for, individual parental or guardian consent for each minor athlete. Each parent or guardian must independently complete the Platform's consent flow before their child's information is displayed on any public-facing roster page.

3.4 Affirmative Duties of Coaches and Club Directors

By creating an account or using the Platform, each Coach and Club Director affirmatively represents, warrants, and covenants to Top Tier ID that: (a) no player under the age of 13 has been or will be enrolled on any roster created or managed through their account; (b) all parents and legal guardians of minor athletes on their team will be directed to complete the Platform's parent consent flow before their child's information is submitted or displayed; and (c) no minor athlete's personal information will be submitted to or displayed on the Platform without the prior, express, and informed consent of that minor's parent or legal guardian. These representations and warranties are ongoing and shall be deemed to be made continuously throughout the duration of the user's account.

4. Coach and Club Director Terms

4.1 Account Creation and Accuracy

To access certain features of the Platform, Coaches and Club Directors must create an account by providing accurate, current, and complete information as prompted by the registration process. You represent and warrant that all registration information you provide is, and will at all times remain, true, accurate, current, and complete. You agree to promptly update your account information to keep it accurate and current. Top Tier ID reserves the right to suspend or terminate accounts that contain inaccurate, false, or misleading information.

4.2 Account Security

You are solely responsible for maintaining the confidentiality and security of your account credentials, including your username, password, and any team-specific access passwords (including parent intake passwords). You agree not to share your credentials with any unauthorized third party and to take all reasonable precautions to prevent unauthorized access to your account. You are responsible for all activity that occurs under your account, whether or not authorized by you. You agree to notify Top Tier ID immediately at support@toptierid.com upon discovery of any unauthorized use of your account or any other breach of security. Top Tier ID shall not be liable for any loss or damage arising from your failure to comply with this security obligation.

4.3 Authorization and Eligibility

By creating an account or using the Platform, you represent and warrant that: (a) you are at least 18 years of age; (b) you are a bona fide, currently active coach, assistant coach, team manager, or club director with a legitimate affiliation to the team or club organization you represent; (c) you have the legal authority and organizational authorization to bind your team, club, or organization to these Terms; (d) your use of the Platform does not violate any applicable law, regulation, or contractual obligation; and (e) you have not previously been suspended or terminated from the Platform or any related service.

4.4 Roster Management Responsibilities

Coaches and Club Directors bear full responsibility for the accuracy, completeness, and lawfulness of all information submitted to or displayed on any roster they create or manage. Specifically, each Coach and Club Director agrees to: (a) ensure that all player information submitted is accurate to the best of their knowledge; (b) obtain valid parental or guardian consent for each minor athlete before that athlete's information is submitted or displayed, using the Platform's established consent flow; (c) maintain the security of the parent intake password and distribute it only to verified parents and legal guardians of athletes on the team; (d) lock the team roster at the appropriate time in accordance with applicable tournament or league rules; (e) promptly remove any player's information upon a valid request by the player's parent or legal guardian or upon Top Tier ID's instruction; and (f) promptly notify Top Tier ID if they become aware of any inaccurate, misleading, or unauthorized information displayed on their roster.

4.5 Subscription and Payment

Access to certain features of the Platform is conditioned upon payment of applicable subscription fees. All fees are due and payable in accordance with the pricing and payment terms presented at the time of subscription. All fees paid are non-refundable, except as expressly required by applicable law or as stated in a specific written agreement with Top Tier ID. Top Tier ID reserves the right to modify its pricing at any time upon reasonable notice to existing subscribers. Your continued use of the Platform following a price change constitutes your acceptance of the new pricing. Failure to pay applicable fees may result in suspension or termination of your account and loss of access to the Platform.

4.6 Club Director Additional Obligations

Club Directors who subscribe on behalf of multiple teams bear an additional obligation to ensure that each team enrolled under their club account is operated in full compliance with these Terms. Club Directors are responsible for communicating the requirements of these Terms to each Coach within their organization and for taking prompt corrective action upon learning of any violation by a Coach or team under their account. Club Directors acknowledge that Top Tier ID may hold the Club Director accountable for violations committed by Coaches operating under the Club Director's account.

4.7 No Guarantee of Service Continuity

Top Tier ID does not guarantee that the Platform will be available at any particular time or for any particular duration. The Platform may be subject to downtime for maintenance, upgrades, or technical issues. Top Tier ID shall not be liable for any loss, damage, or inconvenience resulting from Platform unavailability, and no fee credits or refunds will be issued for periods of downtime unless otherwise expressly agreed in writing.

5.1 Eligibility to Submit

Only a parent or legal guardian of a minor athlete may submit the athlete's personal information to the Platform. By submitting a player profile, you represent and warrant that: (a) you are the biological parent or legal guardian of the athlete whose information you are submitting; (b) you are at least 18 years of age; and (c) the athlete is at least 13 years of age. Submission of a profile for a child under 13, or submission by someone other than a parent or legal guardian, is strictly prohibited and constitutes a material breach of these Terms.

By submitting your child's player profile, you grant Top Tier ID express, informed, and written consent to collect, store, process, and publicly display on the Platform your child's personal information, which may include without limitation: full name, photograph or image, jersey number, athletic statistics and performance information, graduation year, grade point average, height, dominant foot, playing positions, high school name, college commitment status, and contact email address. You further expressly authorize Top Tier ID to make such information accessible to any person who accesses the public-facing roster page associated with your child's team, including but not limited to college coaches, athletic staff, scouts, recruiters, and members of the general public who possess or obtain the roster link or QR code. You understand and acknowledge that once the roster is published, Top Tier ID cannot control who views, saves, or shares your child's information.

5.3 Public Nature of the Roster

YOU EXPRESSLY ACKNOWLEDGE AND UNDERSTAND THAT TEAM ROSTER PAGES ARE ACCESSIBLE TO ANY PERSON WHO POSSESSES OR OBTAINS THE ROSTER LINK OR QR CODE. The roster is not protected by user authentication, and Top Tier ID does not restrict access to the roster based on any affiliation, credential, or identity of the viewer. By consenting to your child's inclusion on the roster, you accept and understand the fully public nature of the roster page and assume all risks associated therewith.

You may withdraw your consent and request removal of your child's information from the Platform at any time by submitting a written deletion request to support@toptierid.com with the subject line "Player Data Deletion Request." Top Tier ID will remove your child's profile from the active public roster page within 72 hours of receiving a valid deletion request, and will permanently delete all stored personal data associated with the profile within 30 calendar days, except consent records retained as described in Section 9.5. You acknowledge that Top Tier ID cannot guarantee that third parties who accessed and saved your child's information prior to deletion will delete their own copies of such information.

5.5 Accuracy of Submitted Information

You represent and warrant that all information you submit for your child's player profile is truthful, accurate, and not misleading in any material respect. Top Tier ID does not independently verify the accuracy of parent-submitted information. You acknowledge that Top Tier ID is not responsible for inaccuracies in player profiles and that any claims arising from inaccurate information you submit are solely your responsibility. You agree to promptly correct any inaccurate information in your child's profile.

5.6 No Recruiting Guarantee

Top Tier ID makes no representation, warranty, or guarantee that your child will be recruited by, contacted by, or offered any opportunity by any college athletic program as a result of being included on a Platform roster. The Platform is a display tool only. Recruiting decisions are made entirely at the discretion of college coaches and athletic staff, and Top Tier ID has no influence over such decisions.

5.7 COPPA Age Representation

By submitting your child's player profile, you affirmatively represent and warrant that your child is at least 13 years of age. You acknowledge that submission of information for a child under 13 is a violation of federal law (COPPA), these Terms, and Top Tier ID's policies, and that you bear sole legal responsibility for any such submission.

6. College Coach and Recruiter Terms

6.1 Agreement by Access

By accessing any roster page on the Platform — whether through a direct link, a QR code, a shared URL, or any other means — you affirmatively agree to be bound by these Terms in their entirety. These Terms apply to you regardless of whether you have created a Top Tier ID account. Your access to the Platform constitutes your acceptance of these Terms.

6.2 Permitted Use

Recruiting Users may access roster pages and view player profiles solely for the purpose of lawful, good-faith athletic recruiting in connection with a bona fide college or university athletic program. Any use of the Platform or athlete data obtained therefrom for any other purpose is strictly prohibited.

6.3 Prohibited Use

You expressly agree that you will not:

  • Share, sell, license, transfer, or distribute player profiles or athlete data to any third party for any purpose;
  • Contact any athlete or athlete's family in violation of applicable NCAA, NAIA, NJCAA, or other governing body recruiting rules and regulations;
  • Use any automated tools, scripts, bots, scrapers, or other technologies to access, copy, extract, or compile athlete data from the Platform;
  • Use athlete data for any commercial purpose not directly related to good-faith collegiate athletic recruiting;
  • Take any action that could reasonably be expected to harm, embarrass, intimidate, or negatively affect any athlete or their family;
  • Use athlete data for any purpose that violates any applicable federal, state, or local law or regulation;
  • Represent or imply any affiliation with, endorsement by, or partnership with Top Tier ID.

6.4 Governing Body Compliance

All recruiting contacts and activities undertaken by Recruiting Users in connection with athlete data obtained from the Platform must comply in all respects with the applicable recruiting rules and regulations of the NCAA, NAIA, NJCAA, or any other governing body to which the Recruiting User's institution belongs. Top Tier ID does not represent that athlete profiles conform to any particular governing body's standards, and it is the Recruiting User's sole responsibility to ensure that their use of the Platform and any resulting contact with athletes complies with all applicable governing body rules.

6.5 Heightened Care for Minor Athletes

Recruiting Users acknowledge that many athletes featured on Platform rosters may be minors under the age of 18. Recruiting Users agree to treat all athlete data — and particularly data pertaining to minors — with heightened care, sensitivity, and discretion. Recruiting Users agree to comply with all federal, state, and local laws governing the collection, storage, and use of personal information pertaining to minors, including without limitation COPPA and applicable state privacy laws.

6.6 No Endorsement

Recruiting Users' access to the Platform does not imply any endorsement, sponsorship, or affiliation between Top Tier ID and the Recruiting User's institution. Top Tier ID does not endorse any particular athlete, team, club, or recruiting program. Any representation to the contrary is strictly prohibited and constitutes a breach of these Terms.

7. Prohibited Conduct (All Users)

All users of the Platform, regardless of user type, expressly agree not to:

  • Use the Platform for any purpose that is unlawful, fraudulent, deceptive, or harmful, or in any manner that violates these Terms;
  • Impersonate any person or entity, falsely claim an affiliation with any person or entity, or misrepresent your identity, role, or authority in connection with the Platform;
  • Upload, transmit, or otherwise make available any content that is defamatory, libelous, obscene, harassing, threatening, discriminatory, or otherwise objectionable;
  • Attempt to gain unauthorized access to any portion of the Platform, any other user's account, or any systems or networks connected to the Platform;
  • Introduce or transmit any virus, malware, trojan, worm, logic bomb, or other harmful or malicious code into or through the Platform;
  • Take any action that interferes with, disrupts, or imposes an unreasonable or disproportionate burden on the Platform's infrastructure, servers, or networks;
  • Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Platform or its content without express written permission from Top Tier ID;
  • Take any action that could damage, disparage, or harm the reputation of Top Tier ID, any user, or any athlete featured on the Platform;
  • Use the Platform to collect or harvest personal information of other users without their express consent;
  • Circumvent, disable, or interfere with any security-related features of the Platform;
  • Engage in any conduct that restricts or inhibits any other user from using or enjoying the Platform.

Violation of these prohibitions may result in immediate suspension or termination of your access to the Platform and may subject you to civil or criminal liability.

8. Intellectual Property

8.1 Top Tier ID Ownership

The Platform and all of its content, features, functionality, design elements, software, source code, object code, algorithms, interfaces, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and all other materials comprising the Platform (collectively, "Platform Content") are the exclusive property of Top Tier ID, LLC and its licensors, and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws. No Platform Content may be copied, reproduced, distributed, republished, uploaded, displayed, posted, or transmitted in any form or by any means without the prior express written permission of Top Tier ID.

8.2 Limited License

Subject to your compliance with these Terms, Top Tier ID grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform solely for the purposes expressly authorized under these Terms and applicable to your user type. This license does not include the right to: (a) modify, adapt, or create derivative works of the Platform or any Platform Content; (b) use the Platform for any commercial purpose other than as expressly authorized; (c) frame or mirror any portion of the Platform on any third-party website; or (d) systematically download or store Platform Content. Any use of the Platform not expressly permitted by these Terms is strictly prohibited and will immediately terminate the license granted herein.

8.3 User-Submitted Content

Users retain ownership of all content they submit to the Platform, including player profile information, photographs, and other data ("User Content"). By submitting User Content to the Platform, you grant Top Tier ID a worldwide, royalty-free, non-exclusive, sublicensable license to use, copy, store, display, transmit, and process your User Content solely as necessary to operate, maintain, and improve the Platform and to fulfill the purposes described in these Terms and our Privacy Policy. This license terminates when you delete your User Content from the Platform or terminate your account, subject to any applicable retention periods described in Section 9.5.

8.4 No Implied License to Marks

Nothing in these Terms grants any user any license or right to use Top Tier ID's name, logos, trademarks, service marks, trade dress, or other brand elements without prior written consent from Top Tier ID. All goodwill arising from any authorized use of Top Tier ID's marks shall inure solely to Top Tier ID's benefit.

9. Data Privacy

9.1 Privacy Policy

Top Tier ID's separate Privacy Policy, available at /privacy (toptieridroster.com/privacy), is incorporated into and made a part of these Terms by this reference. The Privacy Policy describes in detail how Top Tier ID collects, uses, stores, and discloses information in connection with the Platform. By using the Platform, you acknowledge that you have read and understood the Privacy Policy and agree to its terms. In the event of a conflict between these Terms and the Privacy Policy, the Privacy Policy shall control with respect to privacy-related matters.

9.2 Data Collected

In connection with the Platform, Top Tier ID collects and processes the following categories of information: (a) account registration information, including the coach's name (shown on the public roster), the club director's name (kept private), email address, and password credentials; (b) player profile information submitted by Coaches and Parents, including name, photograph, athletic statistics, academic information, and contact details; (c) platform analytics data, including page views, player views, session identifiers, and hashed IP addresses; and (d) consent records, including timestamps, consent type, and hashed IP address, which are maintained to demonstrate compliance with applicable laws and these Terms.

9.3 Use of Data

Top Tier ID uses collected data for the following purposes: (a) to operate, maintain, and improve the Platform and its features; (b) to display player profiles on public-facing roster pages in accordance with parental consent; (c) to record roster activity that is visible only to Platform administrators; (d) to comply with applicable legal obligations, including COPPA, CCPA/CPRA, and other applicable privacy laws; and (e) to enforce these Terms and prevent fraud, abuse, or misuse of the Platform.

9.4 No Sale of Personal Information

Top Tier ID does not sell, rent, or trade personal information — including information pertaining to minor athletes — to any third party for monetary or other valuable consideration. Top Tier ID will not monetize your personal information or your child's personal information through data brokerage, targeted advertising, or any similar practice.

9.5 Retention and Deletion

Top Tier ID retains personal information associated with an account for the duration of the active subscription period. Following cancellation or termination of a subscription, Top Tier ID will retain associated personal information for a period of 30 calendar days, after which it will be permanently deleted from active systems. When a Coach deletes a player, that profile and that player's analytics events are deleted from active systems. When a Coach, Club Director, or administrator deletes a team, that team is removed from public view and its player profiles and analytics events are deleted with it. Consent records are kept after the related team or player is deleted, and are deleted 3 years after the related account or team is deleted. Analytics events are kept for 12 months and then deleted. Password reset tokens expire after one hour, and expired or used tokens are deleted after 30 days. Expired or used parent consent links are deleted after 30 days. Deleted data may persist in encrypted backup systems for up to 90 days following deletion from active systems.

9.6 Security

Top Tier ID employs commercially reasonable technical, administrative, and organizational safeguards designed to protect personal information from unauthorized access, disclosure, alteration, or destruction. These measures include encryption of stored database data at rest with AES-256 by our database provider, Neon, hashed password credentials, and access controls. However, no security system is impenetrable. Top Tier ID cannot guarantee the absolute security of information transmitted to or stored on the Platform, and you acknowledge and accept this risk by using the Platform.

9.7 California Residents — CCPA/CPRA Rights

California residents have certain rights under the California Consumer Privacy Act of 2018 ("CCPA"), as amended by the California Privacy Rights Act of 2020 ("CPRA"), including the right to know what personal information is collected, the right to delete personal information, the right to correct inaccurate personal information, the right to opt out of the sale or sharing of personal information, and the right to non-discrimination for exercising these rights. To exercise any of these rights, California residents may submit a verifiable consumer request to support@toptierid.com. Top Tier ID will respond to verifiable requests within the timeframes required by applicable law.

10. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TOP TIER ID, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS HEREBY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO: (A) ANY IMPLIED WARRANTY OF MERCHANTABILITY; (B) ANY IMPLIED WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE; (C) ANY IMPLIED WARRANTY OF TITLE OR NON-INFRINGEMENT; (D) ANY WARRANTY THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; AND (E) ANY WARRANTY REGARDING THE ACCURACY, RELIABILITY, TIMELINESS, OR COMPLETENESS OF ANY CONTENT OR INFORMATION DISPLAYED ON OR TRANSMITTED THROUGH THE PLATFORM. TOP TIER ID IS NOT RESPONSIBLE FOR THE ACCURACY, COMPLETENESS, TRUTHFULNESS, OR RELIABILITY OF ANY USER-SUBMITTED CONTENT, INCLUDING PLAYER PROFILES AND ATHLETIC STATISTICS, AND MAKES NO REPRESENTATION THAT SUCH CONTENT MEETS ANY PARTICULAR STANDARD. TOP TIER ID IS NOT RESPONSIBLE FOR THE ACTIONS, CONDUCT, OR OMISSIONS OF ANY USER OF THE PLATFORM, INCLUDING COACHES, PARENTS, CLUB DIRECTORS, OR RECRUITING USERS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TOP TIER ID, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, SERVICE PROVIDERS, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: LOST PROFITS; LOST REVENUE; LOSS OF DATA; LOSS OF GOODWILL; BUSINESS INTERRUPTION; PERSONAL INJURY; OR ANY OTHER INTANGIBLE LOSSES — REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE AND REGARDLESS OF WHETHER TOP TIER ID WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY.

IN NO EVENT SHALL TOP TIER ID'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE GREATER OF: (A) THE TOTAL FEES ACTUALLY PAID BY YOU TO TOP TIER ID IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100.00).

TOP TIER ID IS NOT LIABLE FOR ANY RECRUITING OUTCOMES, SCHOLARSHIP RESULTS, ADMISSION DECISIONS, OR ANY HARM — INCLUDING REPUTATIONAL, EMOTIONAL, PHYSICAL, OR FINANCIAL — ARISING FROM A COACH'S, CLUB DIRECTOR'S, PARENT'S, OR RECRUITING USER'S USE, MISUSE, OR UNAUTHORIZED DISCLOSURE OF PLAYER PROFILE DATA. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF LIABILITY FOR CERTAIN TYPES OF DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

12. Indemnification

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Top Tier ID, LLC, its affiliates, officers, directors, employees, agents, licensors, service providers, successors, and assigns (collectively, the "Top Tier ID Parties") from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees and court costs) arising out of or relating to:

  • (a) your access to or use of the Platform in any manner;
  • (b) your violation of any provision of these Terms;
  • (c) your violation of any applicable federal, state, local, or international law, regulation, or ordinance;
  • (d) any User Content you submit to the Platform, including any claim that your User Content infringes, misappropriates, or otherwise violates the rights of any third party;
  • (e) any misrepresentation by you of your identity, authority, role, or affiliation in connection with the Platform;
  • (f) if you are a Coach or Club Director: your failure to obtain valid parental or guardian consent before displaying any minor athlete's information on the Platform;
  • (g) if you are a Parent or Guardian: any inaccuracy in information you submitted about your child, or any misrepresentation regarding your child's age or your authority to consent on your child's behalf; or
  • (h) if you are a Recruiting User: any misuse, unauthorized disclosure, or improper use of athlete data obtained from the Platform.

Top Tier ID reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with Top Tier ID's defense of such claim. You may not settle any claim without Top Tier ID's prior written consent if such settlement imposes any obligation or restriction on Top Tier ID or does not include an unconditional release of all claims against the Top Tier ID Parties.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms and any dispute, claim, or controversy arising out of or relating to these Terms, your use of the Platform, or the relationship between you and Top Tier ID shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

13.2 Binding Arbitration

Except as expressly provided herein, any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, or any breach, termination, enforcement, interpretation, or validity thereof — including the determination of the scope or applicability of this agreement to arbitrate — shall be finally resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect, which are available at www.adr.org. The arbitration shall take place in Los Angeles County, California, or by video conference if the parties so agree. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. Notwithstanding the foregoing, either party may seek emergency injunctive or equitable relief from a court of competent jurisdiction to prevent irreparable harm pending the resolution of arbitration.

13.3 Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY LAW, ALL DISPUTES MUST BE BROUGHT IN THE PARTIES' INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, CLASS ARBITRATION, COLLECTIVE ACTION, REPRESENTATIVE ACTION, OR PRIVATE ATTORNEY GENERAL ACTION. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING. If this class action waiver is found to be unenforceable with respect to any claim, then this entire arbitration provision shall be null and void as to that claim only, and that claim shall proceed in a court of competent jurisdiction.

13.4 Jury Trial Waiver

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND TOP TIER ID EACH IRREVOCABLY AND UNCONDITIONALLY WAIVE ANY RIGHT TO A TRIAL BY JURY WITH RESPECT TO ANY ACTION, PROCEEDING, OR COUNTERCLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM. THIS WAIVER APPLIES TO ALL CLAIMS, WHETHER SOUNDING IN CONTRACT, TORT, STATUTE, OR OTHERWISE. YOU ACKNOWLEDGE THAT YOU HAVE HAD AN OPPORTUNITY TO CONSULT WITH LEGAL COUNSEL REGARDING THIS WAIVER.

13.5 Limitations Period

Any claim or cause of action arising out of or relating to these Terms or the Platform must be filed within one (1) year after such claim or cause of action arose, regardless of any statute of limitations to the contrary. Claims not brought within this period shall be permanently barred.

14. Term and Termination

14.1 Effective Date

These Terms become effective and legally binding on the earliest of: (a) the date you first access or use the Platform in any capacity; (b) the date you create an account; or (c) the date you click "I Agree" or otherwise affirmatively accept these Terms. These Terms shall remain in effect for the duration of your use of the Platform and for any period thereafter as required by the survival provisions below.

14.2 Termination by Top Tier ID

Top Tier ID reserves the right, in its sole discretion, to suspend, restrict, or permanently terminate your access to the Platform or any portion thereof at any time, with or without prior notice, for any reason or no reason, including without limitation if Top Tier ID believes that you have violated or are likely to violate any provision of these Terms, applicable law, or the rights of any third party. Upon termination, your right to use the Platform immediately ceases. Top Tier ID shall not be liable to you or any third party for any termination of your access to the Platform.

Termination of these Terms shall not limit Top Tier ID from pursuing any other remedies available at law or in equity.

15. Modifications to These Terms

15.1 Right to Modify

Top Tier ID reserves the right, at its sole discretion, to modify, amend, or replace any portion of these Terms at any time. When Top Tier ID makes material changes to these Terms, it will post the updated Terms on the Platform with a new "Effective" date. Top Tier ID may also provide notice of material changes by email to registered users or through a notice displayed on the Platform. It is your responsibility to review these Terms periodically for any changes.

15.2 Continued Use Constitutes Acceptance

Your continued access to or use of the Platform after any modification to these Terms becomes effective constitutes your binding acceptance of the modified Terms. If you do not agree to the modified Terms, you must immediately cease using the Platform and, if applicable, delete your account.

15.3 Version Tracking

Top Tier ID records the version of these Terms in effect at the time each consent event occurs. This version tracking is maintained in Top Tier ID's records and may be used to verify the terms under which any particular user consented to the use of the Platform.

16. General Provisions

16.1 Entire Agreement

These Terms, together with the Privacy Policy and any supplemental terms applicable to your user type, constitute the entire agreement between you and Top Tier ID with respect to the Platform and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral, regarding the subject matter hereof.

16.2 Severability

If any provision of these Terms is held by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be modified to the minimum extent necessary to make it enforceable, or if it cannot be so modified, it shall be severed from these Terms. The remainder of these Terms shall continue in full force and effect.

16.3 Waiver

No waiver by Top Tier ID of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure by Top Tier ID to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

16.4 Assignment

You may not assign or transfer any of your rights or obligations under these Terms to any third party without Top Tier ID's prior written consent. Top Tier ID may freely assign or transfer these Terms or any of its rights or obligations hereunder, including in connection with a merger, acquisition, reorganization, or sale of assets, without restriction or prior notice to you. These Terms shall be binding upon and inure to the benefit of the parties and their respective permitted successors and assigns.

16.5 Electronic Acceptance

You agree that these Terms and any other agreements or notices entered into electronically shall be deemed to satisfy any writing requirement and shall have the same legal force and effect as a signed, written agreement.
